RMB partnered with YW Capital to establish the IronOak Real Estate Core Logistics Fund, a dedicated platform created to invest in institutional-quality industrial and logistics real estate in South Africa. The Fund’s inaugural investment is the acquisition of a 65% interest in three Pepkor distribution centres located in KwaZulu-Natal and the Western Cape. The transaction is one of the largest empowerment-led transactions concluded in South African industrial and logistics real estate in recent years.
The transaction brings together YW Capital as Sponsor, Pepkor as the long-term tenant and continuing co-shareholder, and RMB as strategic co-investor, financier and structuring partner.
For Pepkor, the transaction introduces a strategic empowerment partner into core logistics assets while releasing capital for redeployment into its retail business. For YW Capital, it provides the seed investment for a scalable industrial and logistics real estate platform. For RMB, it reflects a deliberate choice to back both the fund and the partnership, and to build a scalable industrial and logistics platform alongside YW Capital.
The challenge
YW Capital needed a partner to help it move from advisory and holding company investments into building a long-term, sustainable, black-owned asset management platform focused on real estate investments. That meant establishing its inaugural fund from a standing start, including the vehicle, investment mandate, governance framework and asset management arrangements, while advising on how the acquisition should be structured and held so that the platform was credible to sellers, funders and future investors.
For the deal itself, the equity and funding then had to be brought together into a single, coherent package. Each layer needed to work so that the structure was fully funded, bankable and capable of supporting the platform beyond its first acquisition.
Underpinning all of this was Pepkor’s need for a strategic partner and execution certainty. As seller, long-term tenant and continuing co-shareholder, Pepkor had to be confident in the viability of the holistic deal and in the partners with whom it intended to invest.
RMB’s solution
RMB worked alongside YW Capital over several years to design, negotiate and set up IronOak as a 100% black-owned and black-controlled fund vehicle, purpose-built to capitalise on opportunities of this nature and scale. Rather than backing the transaction alone, RMB anchored the Fund itself, committing equity alongside YW Capital’s own commitment. In doing so, RMB assembled a capital solution that worked for both parties, giving YW Capital funding certainty in a competitive process and giving Pepkor an executable transaction with a credible empowerment partner. That support extends beyond this acquisition, with RMB committed to scaling the platform alongside YW Capital over time and to supporting meaningful transformation and scale in the South African real estate sector.
